Luminous Distribution Terms and Conditions for Wholesale Supply

 

1.      Distribution Policy for Approved Retailers

 

a)     To become an approved retailer for Luminous Distribution Pty Ltd the account application form needs to be completed and submitted via post or email.  Upon approval the Retailer may order directly via www.luminousdistribution.com.au website through secure login or via email.

b)     ONLINE LISTINGS:  Luminous Distribution products are to be sold on the Retailer’s own approved website only.  Our products are not to be sold on internet auction websites including but not limited to eBay, Amazon and the like, or on discount or daily deal websites and the like. This is strictly forbidden without written permission.

 

2.      Acceptance

 

 Any instructions received by Luminous Distribution by the Purchaser for the supply of goods shall constitute acceptance of the terms and conditions contained herein.

 

3.      Cancellation of Orders

 

Any cancellation of orders must be made in writing prior to goods being dispatched.   In the event of goods having already been dispatched, the Purchaser is responsible for returning goods to Luminous Distribution.

 

4.      Delivery and Freight Charges

 

 Orders are normally dispatched from Luminous Distribution’s warehouse within 48 hours of receipt of order.  Shipping time is generally 3-5 working days. Freight charges as per our Information page on www.luminousdistribution.com.au website apply.

 

5.      Delays in Delivery

 

Luminous Distribution shall not be liable for any loss or damage the retailer may suffer as a result of any non-delivery or late delivery.

 

6.      Shortages in Delivery

 

Claims for shortages or damages to goods in transit must be notified within 48 hours of delivery.  Luminous Distribution may choose to either supply or credit the missing items, replace the incorrect items or give a refund for them provided that, in the case of incorrect items, the Purchaser makes them available for collection.

 

7.      Risk

 

The risk in the goods shall pass to the Purchaser on delivery to the Purchaser’s premises stipulated by the Purchaser.

 

8.      Ownership

 

Luminous Distribution retains ownership of all goods supplied until goods paid in full.  The Seller may take repossession of the goods at any time prior to payment in full if the Purchaser is in default.

 

9.      Payment Terms

 

a)     Customers other than approved credit account customers must pay against invoice prior to despatch of order. Payment can be made via credit card or Paypal through our website or on your issued invoice, or by direct credit into our bank account as stated on our invoice.  All payments must be made in AUD.

b)     Invoices issued to approved credit account customers are due within 21 days of invoice date.  A limit to the amount of credit supplied may be imposed, depending on trading history and ability to settle accounts promptly.

 

10.   Late Payments

 

Should the Purchaser fail to pay the price or any part thereof by the due date, the Seller reserves the right to charge interest to the Purchaser at 2% per month, calculated a daily basis from the due date to the date of payment. The Seller may withhold delivery of further goods to the Purchaser until overdue account and any interest is paid in full.

 

11.   Default

 

The Purchaser shall be responsible for the Seller’s expenses in recovering any debt including debt collection fees, legal costs on a solicitor client basis incurred by the Seller as a result of the Purchaser’s failure to pay the price or adhere to these terms and conditions.

 

12.   Prices and GST

 

All prices are quoted in AUD and exclusive of GST. Luminous Distribution Pty Ltd reserves the right to change pricing at any time without notice.

 

13.   Returns

 

The Seller will not accept the return of goods except in the following circumstances:

a)     Goods with manufacturing faults

b)     Goods not ordered

c)     Goods needing repair

If an item supplied by the Seller is deemed faulty by the Purchaser, the Seller should be notified by phone or email. The Seller will then advise what further action to be taken, which may include returning goods to Seller, or for goods to be disposed by the Purchaser. The Seller at its sole discretion may either credit goods or send a replacement. No goods will be credited without prior approval by the Seller.

Luminous Distribution Pty Ltd may alter these terms at any time by giving reasonable notice to the retailer.
